1 General Terms and Conditions for Organizers

The CIS - Congress Information for Science GmbH, represented by its managing directors Felix Leimer and Felix Stockmar, Landstrasse 67A, D-76547 Sinzheim, Germany (hereafter "CIS") provides the online platform www.cisfinder.com (hereinafter "Platform") for the Publication of information on medical congresses and events (hereinafter referred to as "events") as well as booking options and for the free search of these events. The advertisements are presented and published by registered organizers of medical congresses and events (hereinafter "organizers"). CIS also offers this service as a mobile version via the free application CISfinder (hereinafter referred to as "App", app and online platform collectively hereinafter referred to as "CIS Services"). CIS sells tickets for events in its own name and for the account of the organizer to medical professionals such as doctors and medical scientists who have a special and professional interest in participating in the events described (hereinafter „Professionals").

1.1 Scope

These General Terms and Conditions ("GTC") govern the contractual relationship regarding the free use of the CIS services and the possibility of booking between CIS and the organizers, to which the CIS mediates clients via their platform.

1.2 Subject matter

1.2.1 The subject matter of the contract is the free use of the CIS services, which is limited in time to the specifically agreed period of use, in order to create advertisements on medical specialist congresses and events and to offer tickets to professionals for booking. The advertisements are presented and published by the organizers.

1.2.2 Furthermore, CIS is not responsible for the content of the content, addition or modification of the advertisements published by the Organizer. The publication of advertisements is solely the responsibility of the organizer. The organizer is solely responsible for the organization, execution, actual occurrence and publication of events. In particular, the collection of any applicable participation fees and any reimbursements for events is the sole responsibility of the organizer.

1.2.3 Any agreements and agreements between the Professional and an organizer do not affect the contract described here.

1.2.4 The CIS Services are available for use 24 hours a day, 365 days a year ("System Term"). CIS guarantees platform availability of 98.5% annual average (hereinafter "SLA"). If maintenance work is required and the CIS services are therefore not available, CIS will inform the organizer of this in good time if possible. Failures of the CIS services due to maintenance are not counted towards the SLAs. CIS is not responsible for any internet / network downtime, and especially not for downtime, in which the hardware and software are disrupted due to technical or other issues beyond the control of CIS (eg, force majeure, third party fault, etc.), can not be reached.

1.3 registration; Newsletter

1.3.1 For the use of the CIS services a registration is required.

1.3.2.1 Only legal persons or individual legal persons of full legal capacity and full legal capacity can register as organizers. There is no entitlement to registration and participation in the CIS services. Multiple registrations are not allowed. When registering for a legal entity, the person guarantees that he is authorized to represent the company.

1.3.3 Registration can be done in several ways:

1.3.3.1 CIS Login The organizer can register and register via the CIS login. To register, the organizer must provide his name and e-mail address as well as a password (hereinafter referred to as "access data"). By clicking the corresponding button, the organizer registers and opens a user account.

1.3.3.2 Facebook login The organizer can also register via his Facebook account and thereby register for the use of the CIS services. His existing account on Facebook will be used and an account based on it will be set up at CIS for the use of the CIS services, which can be reached via the Facebook login in the CIS services. The registration for the CIS services is done by logging in by entering the data for the organizer's Facebook account.

1.3.3.3 Completion of the registration

1.3.3.4 Following the registration in accordance with Number 1.3.3.1 or Number 1.3.3.2, CIS will send the Organizer an e-mail confirmation of the e-mail address provided in the registration process together with these Terms and Conditions. The account registration is completed by the access of this e-mail to the organizer.

1.3.3.5 The organizer warrants that the information provided by him when registering with CIS is true and complete. If an organizer makes incorrect or incomplete information, CIS is entitled to terminate and delete the organizer's account without notice. The organizer undertakes to notify CIS of any future changes to its data provided in the course of the registration without being asked to do so.

1.3.3.6 The account can be terminated in accordance with section 1.6. Personal data of the organizer will be deleted immediately, as long as CIS is not allowed to store it due to legal regulations. Further details can be found in the privacy policy of CIS.

1.3.3.7 The organizer is under no circumstances entitled to pass on his access data and in particular his access password to third parties. Should third parties nevertheless have access to the organizer's account or if the organizer has other indications of misuse of their account, the organizer must inform CIS immediately and change their access data.

1.3.4 The organizer can register for an e-mail newsletter in the CIS services by entering his name and e-mail address. CIS then sends an e-mail with a confirmation link. Only when the organizer clicks on this link, the registration for the newsletter is completed. More information about the newsletter can be found in our privacy policy. Each newsletter contains information on how the organizer can unsubscribe.

1.4 Conclusion of the contract and use of the CIS services

1.4.1 Use / download the app The organizer can use the app on different mobile devices, if he downloads them in the respective App Store. Further details may govern the terms and conditions of the respective App Store.

1.4.2 Conclusion of the contract The contract for the use of the CIS services comes about through the registration as described in point 1.3, if CIS confirms the registration of the organizer and activates his user account.

1.4.3 Use of the CIS services
1.4.3.1 The use of CIS services is free. The use is only allowed for purposes of this contract.

1.4.3.2 When using the CIS services and the contractual service, the organizer will comply with all applicable laws and regulations of the Federal Republic of Germany.

1.4.3.3 The Organizer is prohibited from doing anything that could jeopardize the data security or data integrity of the CIS Services. In particular, neither the CIS services may be used for spam, unauthorized manipulation of data and / or cyberattacks.

1.4.4 Should the organizer violate an obligation under this section 1.4.3, CIS reserves the right to suspend the user profile of the organizer, at least temporarily. Further claims of CIS remain unaffected.

1.5 Placements and commission

1.5.1. CIS sells tickets for events in its own name and on behalf of the organizer to the professionals.

1.5.2 CIS will send the booked event tickets on behalf of and on behalf of the organizer to the Professional. The organizer will bill the professional himself. The bank details are given by CIS so that the professional first transfers the ticket price to CIS.

1.5.3. CIS receives a commission on all ticket bookings acquired via its platform. The amount of the commission depends on the ticket package selected by the organizer. When creating an event, the organizer can choose between the following ticket packages: Basic: 7,5% per ticket sold plus a booking fee of 7,99 EUR for free events Unlimited: 9.5% per ticket sold plus a booking fee of 9.99 EUR for free events Unlimited +: individually arranged provisioning

CIS will generate an invoice for the placement fee after the conclusion of an event based on the internal booking summary for that event.

1.5.4. As soon as the amount for the ticket has been received by the Professional from CIS, CIS will forward this less the agreed commission immediately to the organizer.

1.6 Contract period and termination

1.6.1 The organizer can cancel the contract for the use of the app at any time by deleting the app on his smartphone.

1.6.2 The contract for the establishment and use of the account runs indefinitely. The organizer can terminate the contract at any time by clicking the button "delete profile" in his account settings or submit the notice of termination in writing, in writing or by e-mail to CIS.

1.6.3 An extraordinary termination for good cause remains unaffected. There is an important reason for CIS, in particular, if the organizer violates his obligations under point 1.4.3.

1.7 Warranty

For the free provision of the CIS services and the app, CIS adheres to the statutory warranty provisions. In particular, CIS makes no warranties and, in particular, does not warrant that error- free use of the CIS Services on compromised devices (such as "hacking" or "JailBreak") is possible.

1.8 Liability

1.8.1 Claims for damages for breach of duty and tort are excluded both against CIS and its vicarious agents.

1.8.2 This limitation of liability does not apply if the damage was caused intentionally or through gross negligence, as well as in the case of breach of essential contractual obligations, i. such obligations whose fulfillment makes a proper execution of a contract possible in the first place, on the observance of which the organizer may therefore regularly rely and whose violation on the other end jeopardizes the achievement of the purpose of the contract.

1.8.3 The limitation of liability also does not apply to damages resulting from injury to life, limb or health if CIS is responsible for the breach of duty.

1.8.4 Furthermore, the restriction does not apply to damages based on the absence of a warranted property or for which liability is provided for under the Product Liability Act.

1.8.5 The organizer is liable for the realization and actual execution of the respective event, the existence of the possibility to participate for the professional as well as for the truthful content of the advertisements published by an organizer. Because CIS only provides the opportunity to participate in the published events.

1.8.6 In the event of cancellation or non-execution of an event, CIS shall not be liable for any refund of the booking fees.

1.9 Final provisions

1.9.1 CIS is entitled to change and adjust these conditions with effect for the future during the term of the contract. CIS will provide the organizer with the changed conditions prior to the planned entry into force in text form and will particularly point out the new regulations and the effective date. At the same time, CIS will grant the organizer a reasonable period of at least six (6) weeks to declare whether it accepts the amended Terms of Use for the further use of the services. If no explanation is given within this period, which begins to run in text form after receipt of the message, the changed conditions shall be deemed agreed. CIS will separately inform the organizer of this legal consequence at the beginning of the period, ie. the right of objection, the opposition period and the meaning of the silence. This amendment mechanism does not apply to changes in the parties' main contractual obligations.

1.9.2 The law of the Federal Republic of Germany applies excluding the UN sales law. If the organizer is a merchant, a legal entity under public law or special fund under public law, Berlin is agreed as the place of jurisdiction in the event of legal disputes.

1.9.3 All changes to this contract and other agreements must be made in writing. This also applies to this written form clause.

1.9.4 If individual provisions of these terms and conditions should be ineffective, this does not affect the validity of the remaining clauses and the contract in its entirety.

1.9.5 The contract language of these terms and conditions is exclusively German.

1.9.6. For the rest, the respective terms and conditions of the organizer apply between the professional and the organizer.
