1. Terms of Service for Professionals

The CIS - Congress Information for Science GmbH, represented by its managing directors Felix Leimer and Felix Stockmar, Landstrasse 67A, D-76547 Sinzheim, Germany (hereafter "CIS") provides the online platform www.cisfinder.com (hereinafter "Platform") for the Publication of information on medical congresses and events (hereinafter referred to as "events") as well as booking options and for the free search of these events. The advertisements are presented and published by registered organizers of medical congresses and events (hereinafter "organizers"). CIS also offers this service as a mobile version via the free application CISfinder (hereinafter referred to as "App", app and online platform collectively hereinafter referred to as "CIS Services"). In addition, CIS CME produces and publishes certified webinars on the platform. CISfinder operates on this platform a web-based offer to participate in the online webinars. These are chargeable and can be tracked on demand within a certain period of time via the platform.

1.1 Scope

1.1.1 These General Terms and Conditions ("T & Cs") govern the contractual relationship for the free use of CIS services and the possibility of booking between CIS and medical professions such as doctors and medical scientists who have a special and professional interest in participating in the events described (hereinafter "Professionals").

1.1.2 CIS sells tickets for events in its own name and on account of the organizer to the Professional.

1.1.3 CIS will send the booked event tickets on behalf of and on behalf of the organizer to the Professional. The organizer will bill the professional himself. The bank details are given by CIS.

1.1.4 These terms and conditions govern the contractual relationship between CIS and the Professional. The general terms and conditions of the professionals are not part of the contract even if CIS has not expressly objected to their inclusion. For the rest, the respective terms and conditions of the organizer apply between the professional and the organizer.

1.1.5 The present General Terms and Conditions, which also include the separately available privacy policy on the cisfinder.com platform, apply to the use of cisfinder.com, the respective online shop, the respective booking pages and all services provided by CIS in the Connected with the offers there. This applies regardless of the respective access option, the called domain or SUbdomain and also in the event that the service is called from a country other than Germany or the platform or parts thereof are used by other websites.

1.1.6 The presentation of the offer of goods and services on cisfinder.com of the platform, in the online shop and via the platform does not constitute a legally binding offer, but is a request to place an order for an online event by the customer. The customer makes a binding offer for the conclusion of a contract about the selected online event and / or services to CISfinder upon completion of the order process and the submission of the order. CIS declares acceptance of the customer's offer for successful payment by accessing the online event.

1.1.7 The contract for the online event and / or service selected by the customer is concluded between CISfinder and the customer.

1.2 Subject Matter

1.2.1 The object of the contract is the free use of the CIS services, which is limited in time to the specifically agreed period of use, in order to search for and inform about medical specialist congresses and events. Furthermore, CIS offers the possibility of arranging a participation of the professionals in an event published by the organizers. The advertisements are presented and published by registered organizers of medical congresses and events (hereinafter "organizers").

1.2.2 CIS is not responsible for the content of the content, addition or modification of the advertisements published by the organizer. The publication of advertisements is solely the responsibility of the organizer. The organizer is solely responsible for the organization, execution, actual occurrence and publication of events. CIS only provides the opportunity to participate in the published events. In particular, the collection of any applicable participation fees and any reimbursements for events is the sole responsibility of the organizer.

1.2.3 Any agreements and agreements between the Professional and an organizer do not affect the contract described here.

1.2.4 The CIS Services are available for use 24 hours a day, 365 days a year ("System Term"). CIS guarantees platform availability of 98.5% annual average (hereinafter "SLA"). If maintenance work is required and the CIS services are therefore not available, CIS will inform the Professional about this in good time if possible. Failures of the CIS services due to maintenance are not counted towards the SLAs. CIS is not responsible for any internet / network downtime, and especially not for downtime, in which the hardware and software are disrupted due to technical or other issues beyond the control of CIS (eg, force majeure, third party fault, etc.), can not be reached.

1.3 registration; Newsletter

1.3.1 Registration is basically not required for the use of CIS services. Without registering and setting up a user account, however, not all functionality of the CIS services may be available.

1.3.2 The Professional also has the option to create an account on the CIS Services by registering.

1.3.2.1 Only individuals of full age and full legal capacity (not, for example, families or married couples) and legal persons may register. There is no entitlement to registration and participation in the CIS services. Multiple registrations are not allowed. When registering for a legal entity, the person guarantees that he is entitled to represent the legal entity.

1.3.3 Registration can be done in several ways:

1.3.3.1 CIS Login

The Professional can register and register via the CIS Login. To register, the professional must provide his name and e-mail address as well as a password (hereinafter referred to as "access data"). Click on the corresponding button to register the professional and open a user account.

1.3.3.2 Facebook login The professional can also log in via his Facebook account and thereby register for the use of the CIS services. His existing account on Facebook will be used and an account based on it will be set up at CIS for the use of the CIS services, which can be reached via the Facebook login in the CIS services. The registration for the CIS services is done by logging in by entering the data for the Facebook account of the professional.

1.3.3.3 Completion of the registration

1.3.3.4 Following the application pursuant to Number 1.3.3.1 or Number 1.3.3.2, CIS sends the Professional a confirmation of his registration by e-mail together with these Terms and Conditions to the e-mail address specified in the registration process. Account registration will be completed by the receipt of this e-mail from the Professional.

1.3.3.5 The Professional warrants that the information provided by him when registering with CIS is true and complete. If a professional makes incorrect or incomplete information, CIS is entitled to terminate and delete the professional's account without notice. The Professional undertakes to notify CIS of any future changes to its data provided in the course of the registration without being asked to do so.

1.3.3.6 The account may be terminated in accordance with section 1.8. Personal data of the professional will be deleted immediately, as long as CIS is not allowed to store it due to legal regulations. Further details can be found in the privacy policy of CIS.

1.3.3.7 The Professional is under no circumstances entitled to pass on his access data and in particular his access password to third parties. If third parties still have access to the account of the professional or the professional have other indications for the misuse of his account, the Professional CIS must inform immediately and change his access data.

1.3.4 The Professional can register for an e-mail newsletter in the CIS Services by entering his name and e-mail address. CIS then sends an e-mail with a confirmation link. Only when the Professional clicks on this link, the registration for the newsletter is completed. More information about the newsletter can be found in our privacy policy. Each newsletter contains information about how the Professional can unsubscribe.

1.4 Conclusion of the contract and use of the CIS services

1.4.1 Use / download the app The Professional can use the app on different mobile devices, if he downloads them in the respective App Store. Further details may govern the terms and conditions of the respective App Store.

1.4.2 Conclusion of the contract The contract for the use of the CIS services comes about through the registration as described in point 1.3, if CIS confirms the registration to the professional and activates his user account.

1.4.3 Use of the CIS services
1.4.3.1 The use of CIS services is free. The use is only allowed for purposes of this contract.

1.4.3.2 When using the CIS services and the contractual service, the Professional will comply with all applicable laws and regulations of the Federal Republic of Germany.

1.4.3.3 The Professional is prohibited from any action that could jeopardize the data security or data integrity of the CIS Services. In particular, neither the CIS services may be used for spam, unauthorized manipulation of data and / or cyberattacks.

1.4.4 Should the Professional fail to comply with any obligation under this Section 1.4.3, CIS reserves the right to suspend the Professional User Profile, at least temporarily. Further claims of CIS remain unaffected.

1.5 Conclusion of the contract for the purchase of an event ticket and rectification notice

1.5.1 The presentation of tickets for events in the online shop of CIS does not constitute a legally binding offer, but an invitation to place an order (invitatio ad offerendum).

1.5.2 By clicking on the "Book Event" button in the last step of the ordering process, the Professional submits a binding offer to the booking of the event tickets displayed in the order summary. Immediately after payment of the booking via Paypal an order confirmation will be displayed, but this does not constitute acceptance of the contract offer. A contract between the Professional and CIS is concluded as soon as CIS sends the Professional by e-mail the event ticket and the corresponding invoice to the booking by a separate e-mail. As a precaution, the professional has to regularly check the SPAM folder in his e-mail inbox.

1.5.3 The Professional can select event tickets for booking in the online shop of CIS by placing them in a shopping cart by clicking on the corresponding button. The selected event tickets are displayed on the right side of the overview. When the professional wants to complete the order, he clicks on the "Event Booking" button and is then guided through the rest of the order process.

1.5.4 After selecting the ticket and specifying all required order and address data in the next step, pressing the "Next" button will open a page in which the essential ticket details including costs incurred are summarized again. Up to this time the professional can correct his entries or refrain from the contract explanation.

1.6. Registration and Order Webinars

1.6.1 To view online events, you must have a working internet connection and a current browser. CIS reserves the right to change the technical requirements for using the platform and the services.

1.6.2. The client is responsible during the registration for the correct input of his/her data wich is required for the registration process, the handling of the communication and/or for the use of the services via CIS. Changes to this data need to be made online by the customer, if possible, or to notify CIS in writing.

1.6.3 In the course of the registration, the customer assigns a secure password to be chosen by him. „Password“ are all letter/number/special character sequences wich serve the purpose of excluding the use by unauthorized persons. Such a password my not be protected from access by third parties. Furthermore, the customer is obliged to store or transmit passwords in digital media as well as in LAN an WLAN and radio networks only in encrypted form.

1.6.4 Upon completion of the registration, there is no charge for using CIS, wich enables the customer to use the services offered on the platform. For parts of the services e.g. paid online events, if necessary separate booking procedures are to be completed. The fees for such paid services are specified on the online Event.

1.6. Storage of the contract text

The contract terms with details of the booked event tickets including these terms and conditions will be sent to the professional by e-mail. A storage of the contract terms by CIS does not take place.

1.7 Terms of payment

The ticket price is due immediately with order. The payment of the event tickets is made by the payment service provider Paypal.

1.8 Contract period and termination

1.8.1 The contract for the use of the app, the Professional may terminate at any time by deleting the app on his smartphone.

1.8.2 The contract for the establishment and use of the account runs indefinitely. The Professional can terminate the contract at any time by clicking the button "delete profile" in his account settings or submit the notice of termination in writing, in writing or by e-mail to CIS.

1.8.3 An extraordinary termination for good cause remains unaffected. There is an important reason for CIS, in particular, if the Professional violates his obligations under point 1.4.3.

1.9 Warranty

For the free provision of the CIS services and the app, CIS adheres to the statutory warranty provisions. In particular, CIS makes no warranties and, in particular, does not warrant that error- free use of the CIS Services on compromised devices (such as "hacking" or "JailBreak") is possible.

1.10 Liability

1.10.1 Claims for damages for breach of duty and tort are excluded both against CIS and its vicarious agents.

1.10.2 This limitation of liability does not apply if the damage was caused intentionally or through gross negligence, as well as in the case of breach of essential contractual obligations, i. such obligations whose fulfillment makes a proper execution of a contract possible in the first place, the compliance of which the professional may therefore regularly rely on and whose violation on the other end jeopardizes the achievement of the purpose of the contract.

1.10.3 The limitation of liability also does not apply to damages resulting from injury to life, limb or health if CIS is responsible for the breach of duty.

1.10.4 Furthermore, the restriction does not apply to damages based on the absence of a warranted property or for which liability under the Product Liability Act is provided for.

1.10.5 CIS is not liable for the realization and the actual performance of the respective event, the existence of the possibility to participate for the professional as well as for the truthful content of the advertisements published by an organizer. CIS only provides the opportunity to participate in the published events. Further claims are to be addressed directly to the organizer.

1.11 Final provisions

1.11.1 CIS is entitled to change and adapt these conditions with effect for the future during the term of the contract. CIS will provide the Professional with the revised terms and conditions prior to the planned entry into force in text form and will particularly draw attention to the new regulations and the effective date. At the same time, CIS will give the Professional a reasonable minimum of six (6) weeks to declare whether it accepts the amended Terms of Use for further use of the Services. If no explanation is given within this period, which begins to run in text form after receipt of the message, the changed conditions shall be deemed agreed. CIS will separately inform the Professional at the beginning of the term of this legal consequence, i. the right of objection, the opposition period and the meaning of the silence. This amendment mechanism does not apply to changes in the parties' main contractual obligations.

1.11.2 The law of the Federal Republic of Germany applies excluding the UN sales law, if a) the professional has his habitual residence in Germany, or (b) is his habitual residence in a State which is not a member of the European Union. In the event that the professional is habitually resident in a member state of the European Union, the applicability of German law shall apply, without prejudice to any mandatory provisions of the state in which he has his habitual residence.

1.11.3 If the Professional is a merchant, a legal entity under public law or a special fund under public law, Berlin shall be the place of jurisdiction in the event of legal disputes.

1.11.4 All changes to this contract and other agreements must be made in writing. This also applies to this written form clause.

1.11.5 Should individual provisions of these terms and conditions be ineffective, this does not affect the validity of the remaining clauses and the contract in its entirety. 1.11.6 The contract language of these terms and conditions is exclusively German.
